Senior Manager, Corporate Secretariat
Job Summary
The Senior Manager will be responsible for corporate secretarial and related matters of relevant listed and non-listed entities within the Group.
Job Description
- Lead and be responsible for all corporate secretarial and related matters of an assigned portfolio of listed and non-listed entities within the Group.
- Responsible for and ensure compliance with relevant statutory and regulatory requirements including those under the Companies Act, ACRA regulations, MAS and SGX-ST listing rules.
- Responsible for the organisation and coordination of annual general meetings or other shareholder meetings and be responsible for the preparation and circulation of related meeting materials.
- Responsible for the organisation, coordination and arrangement of meetings of Board and Board Committees and assist in the preparation and circulation of meeting agendas and meeting papers. Attend and prepare minutes of such meetings.
- Responsible for and assist in the preparation of directors’ and shareholders’ resolutions and be responsible for and manage the circulation, approval and execution process.
- Manage, administer, maintain and file all statutory records, registers and minute books in accordance with applicable statutory requirements.
- Lodge statutory filings with ACRA.
- Administer CorpPass user account registrations and assignment of e-services.
- Manage and maintain a corporate secretarial database and other applicable corporate secretarial platform/programme.
- Responsible for and assist in the preparation and manage the process for timely release of SGX Announcements, and managing SGX RegCo processes.
- Responsible for the coordination and facilitation of communications with Directors and/or other relevant personnel.
- Liaise and coordinate with internal and external partners, auditors, agencies and regulatory authorities on corporate secretarial matters.
- Perform any other duties and responsibilities as may be assigned by the Company Secretary.
Key Qualification
- Preferably degree holder. Minimally a diploma holder with relevant professional qualification/certification
- Minimum 10 years of relevant experience handling corporate secretarial duties and other matters
- Strong leadership skills and good team player
- Strong communication, presentation and interpersonal skills
- Engages effectively with stakeholders
- Good organisational skills
- Proficient in taking and preparing minutes of meetings
